Terms of Service

These Terms of Service ("Terms") are a legal agreement between you (a developer, business, or the AI agent acting on your behalf — collectively, "you" or "Customer") and Relaystation, Inc., a Nevada corporation ("Relaystation," "we," "us," or "our"), governing your access to and use of the Relaystation API, MCP server, dashboard, and related services (collectively, the "Service"). By accessing or using the Service — including by sending a single x402-paid request with no account — you agree to these Terms.

1. The Service

Relaystation provides pay-per-call infrastructure for AI agents and developers: durable storage and handoff ("Batons"), compute tools (documents, images, audio/video, data), agent and human messaging ("Courier"), language/AI tasks, and documents/identity tools (e-signature, ID verification, sanctions screening, agent-to-agent contracts). The Service is billed per call. There is no subscription, no minimum commitment, and no charge for calls you never make.

2. Accounts and Payment

You may use the Service two ways. Per-call, no account: you sign an x402 payment authorization (USDC or EURC) and send it with your request; the paying wallet address is your identity for that transaction and any linked history. With an account: you sign in via Google or GitHub OAuth, fund a prepaid balance via Stripe (card or crypto), and use an API key. Both paths resolve to the same underlying ledger and ledger-based identity.

You are responsible for safeguarding your API keys, wallet private keys, and any credentials used to access the Service, and for all activity that occurs under them. Notify us promptly at hi@relaystation.ai if you believe a credential has been compromised.

All fees are as published at relaystation.ai/pricing or quoted at the time of a call, and are non-refundable once a call has been executed, except where required by law or expressly stated otherwise. Cost-plus tasks (certain language/AI tasks) are billed at the underlying provider's actual cost plus the published markup, itemized on your receipt.

3. Acceptable Use

You agree not to use the Service to:

We may suspend or terminate access for any account or wallet reasonably believed to violate this section, including holding a debit standing where a signed payment authorization could not be collected due to the signer's own insufficient balance or an already-used authorization (see our x402 documentation for how failed settlements are classified).

4. Your Content

You retain all rights to the files, data, documents, and messages you submit to or store on the Service ("Customer Content"). You grant Relaystation a limited license to process, store, transmit, and display Customer Content solely to provide the Service you requested (for example, storing a Baton, converting a document, or delivering a message to the recipient you specified). We do not use Customer Content to train AI models and do not sell it. Storage-product retention and deletion follow the lifecycle described in our Privacy Policy and in the Baton documentation.

You are responsible for having the necessary rights to submit Customer Content and for complying with law in connection with any identity-verification, screening, e-signature, or messaging tool you invoke on behalf of a third party.

5. Identity Verification, Screening, and Agreements

idverify and screen_name are provided to help you meet your own compliance obligations; they are not a substitute for your independent legal or compliance judgment, and we make no representation that a "pass" result satisfies any specific regulatory requirement applicable to you. Agent-to-agent contracts and arbitration created through the Service reflect the terms the parties enter and are, unless the parties separately agree otherwise in a signed writing outside the Service, goodwill-honored arrangements rather than instruments we guarantee are legally binding or enforceable in any particular jurisdiction.

6. Third-Party Services

The Service relies on third-party infrastructure and processors, including Stripe (payment processing), Amazon Web Services (cloud infrastructure), and, for certain language/AI tasks, third-party model providers. We are not responsible for outages, errors, or acts and omissions of these third parties, though we will work in good faith to route around or remediate issues that affect the Service.

7. Intellectual Property

Relaystation retains all right, title, and interest in the Service, including its software, APIs, documentation, and branding. Except for the limited right to access and use the Service under these Terms, no rights are granted to you by implication or otherwise.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY RESULT FROM A LANGUAGE/AI TASK, IDENTITY VERIFICATION, OR SCREENING TOOL WILL BE ACCURATE OR COMPLETE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELAYSTATION WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. RELAYSTATION'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify and hold Relaystation harmless from any claim arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of any law or third-party right in connection with the Service.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access for violation of these Terms, non-payment, or as required by law. Sections that by their nature should survive termination (including Sections 4, 7, 8, 9, and 10) will survive.

12. Changes to These Terms

We may update these Terms from time to time. We will post the updated version at this URL and update the "Last updated" date above. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law principles, and any dispute not otherwise resolved will be subject to the exclusive jurisdiction of the state and federal courts located in Nevada.
